John is the senior partner of the firm and head of the Company Commercial team. John’s significant experience spans over 25 years in company and commercial law, during which he has advised companies and other business organisations on a wide range of transactions and agreements.
He is regularly instructed on the sale and purchase of shares and businesses; management buy-ins and buy-outs; and group reorganisations and he also has a wealth of experience in the drafting of shareholder, investment, LLP and trading agreements, including complex commercial agreements of extremely high value – an area that John has become particularly known for among Spratt Endicott’s pan-European and international client base – and senior level employment contracts.
John also has extensive experience in the areas of corporate finance & banking, share issues, joint ventures, venture capital agreements, computer agreements, distribution agreements, franchises, patent and trade mark licensing, software contracts, consultancy agreements and directors’ service agreements.
His clients include major household names and substantial businesses with which he has developed close working relationships through his pragmatic, commercial approach.
John has particular experience in advising on and taking responsibility for the negotiation of complex commercial agreements and has recently acted in two international arbitrations on behalf of a significant, multi-national supplier, involving detailed consideration and analysis of the rules of a specialist trade council. He advises on standard terms of business, long term supply and purchasing agreements, distribution, agency and franchise agreements, intellectual property licensing, outsourcing agreements and tender documentation.
John had many notable engagements in 2008 including acting for a long-standing international manufacturing client on its acquisition of an equipment manufacturing company and for leading UK services provider on its acquisitions of other companies and on a significant number of multi-million pound, national and long term trading agreements.
